Agreement to License Terms
This End User License Agreement ("EULA") is a legal agreement between you and HighTalk for the use of HighTalk software, applications, and services. By downloading, installing, or using HighTalk, you agree to be bound by the terms of this EULA.
Effective Date: January 1, 2025
License Type: Limited, Non-Exclusive
1. License Grant
Subject to your compliance with this EULA and our Terms of Service, HighTalk grants you a limited, non-exclusive, non-transferable, revocable license to:
- Download and install the HighTalk application on your personal devices
- Access and use HighTalk services for personal, non-commercial purposes
- Receive automatic updates and improvements to the software
2. License Restrictions
You may NOT:
- Copy, modify, or create derivative works of the HighTalk software
- Reverse engineer, decompile, or disassemble the application
- Remove, alter, or obscure any proprietary notices (copyright, trademark, etc.)
- Rent, lease, lend, sell, redistribute, or sublicense the software
- Use the software for any illegal or unauthorized purpose
- Attempt to gain unauthorized access to HighTalk systems or networks
- Use the software in any way that could damage, disable, or impair the service
3. Intellectual Property Rights
HighTalk and all related intellectual property remain the exclusive property of HighTalk and its licensors.
- The HighTalk name, logo, and trademarks are owned by HighTalk
- All software code, design, graphics, and documentation are protected by copyright
- You retain ownership of content you create, subject to our Privacy Policy
- Third-party content and trademarks are property of their respective owners
4. Open Source Components
HighTalk may include open source software components licensed under various open source licenses.
- Open source components retain their original licenses
- A list of open source components and their licenses is available upon request
- Open source licenses do not grant rights to proprietary HighTalk code
5. Disclaimer of Warranties
HighTalk software is provided "AS IS" without warranties of any kind.
NO WARRANTIES:
- We do not warrant that the software will be uninterrupted or error-free
- We do not guarantee compatibility with all devices or operating systems
- We disclaim all implied warranties of merchantability and fitness for a particular purpose
- You use the software at your own risk
6. Limitation of Liability
To the maximum extent permitted by law:
- HighTalk shall not be liable for any indirect, incidental, or consequential damages
- Our total liability is limited to the amount you paid us in the past 12 months
- We are not liable for data loss, business interruption, or lost profits
- Some jurisdictions do not allow liability limitations, so these may not apply to you
7. Updates and Modifications
HighTalk may provide updates, patches, and new versions of the software.
- Updates may be installed automatically or require manual action
- Updates are subject to this EULA unless accompanied by a separate license
- We may discontinue support for older versions at any time
- You are responsible for maintaining compatible hardware and software
8. Termination
This license is effective until terminated.
- You may terminate by uninstalling the software and ceasing all use
- We may terminate if you violate this EULA or our Terms of Service
- Upon termination, you must destroy all copies of the software
- Sections regarding intellectual property, warranties, and liability survive termination
9. Export Compliance
You agree to comply with all applicable export and import laws.
- HighTalk software may be subject to export control regulations
- You will not export or re-export the software to prohibited countries or entities
- You represent that you are not on any government restricted party list
10. Entire Agreement
This EULA, together with our Terms of Service and Privacy Policy, constitutes the entire agreement.
- This EULA supersedes all prior agreements regarding the software
- Any modifications must be in writing and signed by HighTalk
- If any provision is found invalid, the remaining provisions remain in effect
